Preamble

This Charter establishes Panipat Chess as a structured chess club and training academy dedicated to the promotion, instruction, and competitive practice of chess in Panipat, Haryana, India. Panipat Chess operates under the legal and financial umbrella of Tensai Ventures LLC, a limited liability company incorporated in the State of Wyoming, United States of America. The Club is committed to upholding the highest standards of chess instruction and competition as defined by the International Chess Federation (FIDE), the sole global governing body for the sport of chess [1].
 

Article I: Name, Identity, and Domain

Section 1.01 — Name. The official name of the organization shall be Panipat Chess. The Club may also be referred to by its web domain, PanipatChess.com, in digital communications, marketing materials, and official correspondence.
 
Section 1.02 — Governing Entity. Panipat Chess is owned and operated by Tensai Ventures LLC. All legal rights, obligations, intellectual property, and financial accounts associated with the Club are held by Tensai Ventures LLC.
 
Section 1.03 — Nature of Organization. Panipat Chess functions as a chess club and coaching academy. It provides structured group instruction, facilitates competitive play, and fosters a community of chess players across skill levels. The Club is not a sports federation, nor does it claim to act as one; it is a private instructional and recreational organization.
 

Article II: Purpose and Mission

Section 2.01 — Mission Statement. The mission of Panipat Chess is to make high-quality chess education accessible to residents of Panipat and surrounding areas, to develop players from beginner to competitive club level, and to build a vibrant local chess community grounded in the principles of fair play, intellectual growth, and sportsmanship.
 
Section 2.02 — Objectives. The Club pursues its mission through the following objectives:

Article III: Registered and Operating Addresses

Section 3.01 — Registered Office. The registered office of the governing entity is located at: Tensai Ventures LLC, 30 N Gould Street, Suite R Sheridan, Wyoming, USA – 82801. This address serves as the legal domicile for all corporate filings, regulatory correspondence, and official records of the LLC.
 
Section 3.02 — Operating Address. The primary operating address and physical instructional facility for Panipat Chess is located at: Panipat Chess, A-82 Sushant City Ansal, Panipat, Haryana, India – 132103. All in-person classes, coaching sessions, and club meetings are conducted at this location unless otherwise announced.

Article IV: Regulatory Framework and Independence

Section 4.01 — FIDE Compliance. Panipat Chess recognizes FIDE as the supreme authority on the rules and regulations of chess. All competitive activities organized by the Club, including tournaments, rated games, and official matches, shall be conducted in strict accordance with the FIDE Laws of Chess (effective January 1, 2023) [1] and the FIDE Anti-Cheating Regulations [2].
 
Section 4.02 — Independence from National Federations. Panipat Chess operates independently of the All India Chess Federation (AICF) and any state-level chess associations. The Club does not seek affiliation with, nor does it derive authority from, any national chess federation. Its legal standing is derived from the corporate structure of Tensai Ventures LLC under the laws of the State of Wyoming, USA. This independence allows the Club to operate without being subject to the administrative requirements, fees, or regulatory constraints imposed by national federations.
 
Section 4.03 — Applicable Law. The governance and operations of Panipat Chess are subject to the laws of the State of Wyoming, USA, as the jurisdiction of the governing entity. The Club also complies with applicable local laws and regulations at its operating address in Panipat, Haryana, India.
 

Article V: Leadership and Governance

Section 5.01 — Executive Director. The Club shall be led by an Executive Director who holds the title of FIDE Arena International Master (AIM) [3]. The Executive Director is the sole decision-making authority for all matters related to the Club’s operations, including curriculum design, membership policies, financial management, and disciplinary actions.
 
Section 5.02 — Responsibilities of the Executive Director. The Executive Director is responsible for:
  1. Designing and delivering all instructional curricula in alignment with FIDE standards.
  2. Establishing and enforcing the Club’s Code of Conduct and Fair Play Policy.
  3. Managing the financial operations of the Club through Tensai Ventures LLC.
  4. Representing the Club in all official communications, partnerships, and public engagements.
  5. Ensuring compliance with FIDE Laws of Chess and Anti-Cheating Regulations.

 

Section 5.03 — Succession. In the event that the Executive Director is unable to fulfill their duties, Tensai Ventures LLC shall appoint a qualified successor. Any successor must hold a recognized FIDE title or demonstrate equivalent chess expertise.
 

Article VI: Membership

Section 6.01 — Eligibility. Membership in Panipat Chess is open to all individuals regardless of race, religion, gender, caste, nationality, or socioeconomic background. The Club specifically designs programs for two demographic groups: children aged 8 to 12 years and adults aged 20 to 30 years. However, individuals outside these age ranges may also apply for membership at the discretion of the Executive Director.
 
Section 6.02 — Enrollment. Prospective members must complete a registration form, agree to the Club’s Membership Agreement and Liability Waiver (Document PC-LEG-001), and pay the applicable program fees. For members under the age of 18, a parent or legal guardian must complete the registration and provide written consent.
 
Section 6.03 — Rights of Members. All active members in good standing are entitled to attend their enrolled classes, access Club resources, participate in Club-organized events, and receive progress reports from the Head Coach.
 
Section 6.04 — Termination of Membership. Membership may be terminated by the Executive Director for violations of the Code of Conduct, non-payment of fees, or any behavior deemed detrimental to the Club. Members may also voluntarily withdraw from the Club by providing written notice.
 

Article VII: Training Programs

Section 7.01 — Program Structure. Panipat Chess offers three structured training programs, each designed for a specific skill level and with a clearly defined rating goal. The programs are as follows:

Section 7.02 — Curriculum Design. The curriculum for each program is designed by the Executive Director, a FIDE Arena International Master, and covers the following areas: opening theory, middlegame strategy, endgame technique, tactical pattern recognition, positional understanding, time management, and tournament preparation. Group C additionally includes advanced topics such as pawn structure analysis, prophylactic thinking, and preparation against specific opponents.
 
Section 7.03 — Assessment and Progression. Student progress is assessed through regular practice games, puzzle-solving exercises, and periodic rating checks on Chess.com and FIDE online platforms. Students who achieve their program’s rating goal may advance to the next group upon recommendation by the Head Coach.
 

Article VIII: Financial Operations

Section 8.01 — Fee Structure. The Executive Director shall establish and publish the fee structure for each program cycle. All fees are payable to Tensai Ventures LLC through approved payment channels.
 
Section 8.02 — Financial Transparency. The Club maintains accurate financial records through Tensai Ventures LLC. Members may request a summary of the Club’s financial policies upon written request.
 
Section 8.03 — Refund Policy. Refund requests must be submitted within 48 hours of payment. After this window, no refunds will be issued for the current program cycle. Detailed refund terms are set forth in the Membership Agreement (Document PC-LEG-001).
 

Article IX: Amendments

Section 9.01 — Amendment Authority. This Charter may be amended by the Executive Director of Panipat Chess, acting on behalf of Tensai Ventures LLC. Amendments shall be documented in writing, assigned a new version number, and communicated to all active members.
 
Section 9.02 — Effective Date of Amendments. Amendments take effect on the date specified in the amendment notice or, if no date is specified, 30 days after the notice is issued to members.
 

Article X: Dissolution

Section 10.01 — Dissolution. In the event that Panipat Chess ceases operations, all outstanding financial obligations shall be settled by Tensai Ventures LLC. Any remaining assets shall be disposed of in accordance with the operating agreement of Tensai Ventures LLC and applicable Wyoming law.

3. Refunds

Refunds are only provided under the following circumstances:

If you have been charged incorrectly due to an error on our part, we will refund the full amount.
If you are not satisfied with our service, please notify us within 7 days after the service is provided. We will investigate the matter and if we determine that our service was not provided to a satisfactory level due to factors under our control, we may offer a partial or full refund.

Please note that refunds are not given by default in case of service cancellation. Each refund request is evaluated individually.

4. Refund Process

If your request for a refund is approved, the refund will be processed and a credit will be automatically applied to your original method of payment, within 14 days.

5. Changes to This Policy

We reserve the right to update or change our Refund and Cancellation Policy at any time and you should check this Refund and Cancellation Policy periodically.

We provide Research, Education & Consulting services to help traders and investors reduce their risk and gain an edge. We reserve the right to change, suspend or discontinue any aspect of the services at any time, including availability of any feature or content without prior notice.

We also contribute to Academia by publishing research papers & reports in academic journals, presenting in international conferences and posting content on social media & charting platforms. These academic activities should not be confused with our professional activities regardless of whether a price is paid or not. 

The users must check the quotations for clarity as whether the service provided is in the capacity of an independent analyst or as an academic researcher where the nature of service becomes educational and not professional consultation.

3. Service Restrictions

These Terms and Conditions will be governed by and construed in accordance with the laws of USA, and you submit to the exclusive jurisdiction of the courts in Wyoming, USA for the resolution of any disputes.
